1. Agreement to Terms

These Terms of Service (“Terms,” “Agreement“) constitute a legally binding agreement between you (“you,” “your,” “User“) and Vitorian LLC (“Company,” “we,” “us,” “our“) regarding your access to and use of the Low Latency Trading Insights website located at https://hftuniversity.com (the “Website“) and any related services, features, content, and applications we offer (collectively, the “Service“).

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at https://hftuniversity.com/privacy-policy/). If you do not agree to these Terms, you must immediately discontinue use of the Service.

2. Eligibility and Account Requirements

2.1 Age Requirements

You must be at least 18 years old to use our Service. If you are between 13 and 18 years old, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

Low Latency Trading Insights provides educational content, analysis, and resources related to high-frequency trading, quantitative finance, and market microstructure. Our Service includes:

  • Blog articles and educational content

  • Market analysis and commentary

  • Premium subscription content

  • Educational resources and tools

  • Community features (comments, discussions)

  • Newsletter and email updates

3.2 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. We may:

  • Modify, suspend, or discontinue any part of the Service

  • Implement usage limits or restrict access to certain features

  • Perform maintenance that may temporarily affect availability

  • Update content, features, or functionality without notice

3.3 Not Financial Advice

Important Disclaimer: The content provided through our Service is for educational and informational purposes only. It does not constitute:

4. Subscriptions and Paid Services

4.1 Billing Through Paddle

We use Paddle.com Market Limited (“Paddle“) as our Merchant of Record for all paid services. When you purchase a subscription or any paid service:

  • Paddle is the seller: Your purchase contract is with Paddle, not directly with us

  • Payment processing: Paddle handles all payment processing, billing, and invoicing

  • Tax compliance: Paddle manages all applicable taxes (VAT, GST, sales tax) based on your location

  • Customer support: For billing issues, you may need to contact Paddle directly

By purchasing our paid services, you also agree to:

We offer various subscription plans as detailed on our Pricing page (https://hftuniversity.com/pricing/). Subscriptions include:

  • Monthly Plans: Billed monthly on a recurring basis

  • Annual Plans: Billed yearly with potential discounts

  • Premium Features: Access to exclusive content, tools, and resources

4.3 Pricing and Payment Terms

  • Currency: All prices are displayed in USD unless otherwise specified

  • Taxes: Prices exclude applicable taxes, which Paddle adds at checkout

  • Payment Methods: Paddle accepts major credit cards, debit cards, and PayPal

  • Price Changes: We may modify prices with 30 days’ notice to existing subscribers

  • Failed Payments: Paddle will attempt to retry failed payments according to their policies

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. By subscribing, you authorize Paddle to charge your payment method on a recurring basis. You may cancel auto-renewal at any time.

4.5 Cancellation

You may cancel your subscription at any time by:

  • Accessing your account dashboard

  • Contacting our support at support@vitorian.com

  • Following Paddle’s cancellation process

Upon cancellation:

  • Your subscription remains active until the end of the current billing period

  • You retain access to paid features until expiration

  • No partial refunds are provided for unused time

4.6 Refund Policy

4.7 Free Trials and Promotions

We may offer free trials or promotional pricing at our discretion. Terms include:

  • Trials automatically convert to paid subscriptions unless cancelled

  • Promotional rates apply only for the specified period

  • Previous subscribers may not be eligible for certain offers

  • We reserve the right to determine eligibility

5. User Content and Conduct

5.1 User Content Rights

When you submit, post, or display content through our Service (“User Content“), you:

  • Retain ownership of your content

  • Grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display your content in connection with the Service

  • Represent that you have all necessary rights to grant this license

  • Acknowledge that we may use your content for promotional purposes

This license continues even if you stop using the Service, to the extent your content has been shared or integrated with other features.

5.2 Content Standards

Your User Content must comply with these standards:

Must be:

  • Accurate and truthful (to the best of your knowledge)

  • Original or properly attributed

  • Relevant to the Service’s purpose

  • Respectful and constructive

Must NOT be:

  • Illegal, fraudulent, or deceptive

  • Infringing on intellectual property rights

  • Defamatory, harassing, or threatening

  • Obscene, pornographic, or inappropriate

  • Containing malware, viruses, or harmful code

  • Spam, advertisements, or promotional material (without permission)

  • Violating privacy or publicizing private information

  • Encouraging illegal activities or self-harm

  • Discriminatory or hate speech

5.3 Monitoring and Enforcement

We reserve the right, but have no obligation, to:

  • Monitor User Content for violations

  • Remove or modify content that violates these Terms

  • Suspend or terminate accounts for violations

  • Report illegal content to law enforcement

  • Preserve content as required by law

We do not endorse User Content and disclaim liability for any User Content posted by third parties.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, functionality, and design elements are owned by Vitorian LLC or our licensors and are protected by:

  • Copyright laws

  • Trademark laws

  • Trade secret laws

  • Other intellectual property rights

Our trademarks, service marks, and logos may not be used without our prior written permission.

6.2 Limited License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal, non-commercial purposes

  • Download or print content for personal, non-commercial use

  • Share content links with proper attribution

6.3 Restrictions on Use

You may NOT:

  • Copy, modify, or create derivative works without permission

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Remove copyright or proprietary notices

  • Use content for commercial purposes without authorization

  • Scrape, harvest, or systematically extract data

  • Use automated systems or bots without permission

  • Frame or mirror any part of the Service

  • Sell, resell, or commercialize any part of the Service

6.4 Copyright Infringement Claims (DMCA)

We respect intellectual property rights and expect users to do the same. To report copyright infringement, send a DMCA notice to:

Your notice must include:

  • Identification of the copyrighted work

  • Identification of the infringing material

  • Your contact information

  • A statement of accuracy under penalty of perjury

We will investigate valid claims and may remove infringing content. Repeat infringers may have their accounts terminated.

7. Challenge Content and Confidentiality

7.1 Challenge Content

All challenge descriptions, benchmark harnesses, scoring algorithms, private benchmark implementations, test cases, validation logic, and associated materials ("Challenge Content") are the sole and exclusive property of Vitorian LLC, doing business as HFT University. All Challenge Content is protected under United States copyright laws and applicable international treaties.

7.2 Restrictions on Challenge Content

You agree not to:

  • Reproduce, distribute, or publicly disclose Challenge Content, including private benchmark code, test cases, or scoring methodology

  • Attempt to decompile, reverse engineer, or discover the source code or underlying logic of private benchmarks or the scoring system

  • Share solutions in any public forum, repository, blog, or social media in a way that reveals or enables reverse-engineering of the private benchmark or scoring system

  • Use automated tools to extract, scrape, or systematically collect Challenge Content

  • Circumvent the benchmark sandbox, tamper with scoring, or submit solutions designed to exploit rather than solve the challenge

  • Use the Challenge Content to directly compete with HFT University

7.3 Your Solutions

Your submitted code remains your intellectual property. HFT University claims no ownership of your solutions. By submitting, you grant HFT University a non-exclusive, royalty-free license to execute, benchmark, store, and archive your solution solely for the purposes of scoring, leaderboard display, and platform operation. This license persists for the duration of your account.

7.4 Discussion of Approaches

You may freely discuss general algorithms, data structures, and optimization techniques related to the challenges. You may not reproduce verbatim Challenge Content such as private benchmark source code, test vectors, validation criteria, or scoring parameters.

7.5 Badges and Credentials

Badges and credentials earned through the challenges are verified digital achievements tied to your account and active subscription. Badges are publicly visible while you hold an active subscription. If your subscription lapses, badges are hidden until you resubscribe. HFT University reserves the right to revoke badges in cases of fraud, cheating, or violation of these Terms.

7.6 Benchmark Methodology Changes

HFT University reserves the right to modify, recalibrate, or redesign benchmark methodology, scoring algorithms, badge thresholds, and challenge parameters at any time. When such changes occur:

  • Existing scores and badges for affected challenges may be invalidated and reset

  • HFT University will make reasonable efforts to automatically re-benchmark your latest submission using the updated methodology

  • To ensure your scores can be recomputed, you must keep your GitHub repository online, accessible, and with the correct deploy keys assigned. If your repository is unavailable or the deploy key has been removed at the time of re-benchmarking, your previous scores will be permanently lost and cannot be recovered.

  • HFT University is not liable for any loss of scores, badges, or leaderboard positions resulting from methodology changes

  • Affected users will be notified via the platform's announcement system

7.7 Fair Play

Solutions must compute results independently for each invocation. The following practices are prohibited:

  • Using static variables, global state, or any mechanism to cache, record, or replay results across benchmark iterations

  • Precomputing or memoizing query results during one iteration for use in subsequent iterations

  • Exploiting the deterministic nature of benchmark workloads to short-circuit computation

  • Any technique that causes your solution to return prerecorded answers instead of computing them from the current state of the data structure

  • Modifying, overwriting, or interfering with benchmark measurement fields, timestamps, or scoring instrumentation

  • Altering the size, layout, or semantics of data structures defined by the challenge specification

Each call to your solution's functions must perform the actual computation based on the current state. Violations will result in score invalidation and may result in account suspension.

7.8 Enforcement

Violation of these terms may result in immediate account termination, revocation of all badges and credentials, removal from leaderboards, and pursuit of legal remedies under applicable intellectual property and trade secret law.

8. Third-Party Services and Links

7.1 Third-Party Content

Our Service may contain links to third-party websites, services, or content that we do not control. We provide these links for convenience only and do not:

  • Endorse or approve third-party content

  • Guarantee accuracy or completeness

  • Control third-party privacy practices

  • Accept liability for third-party services

8.2 Third-Party Terms

Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review these before engaging with third-party services.

8.3 Advertising and Affiliates

We may display advertisements or participate in affiliate programs. These relationships are disclosed where required, and we maintain editorial independence in our content.

9. Prohibited Activities

You agree NOT to engage in any of the following activities:

10.1 Security Violations

  • Accessing unauthorized areas of the Service

  • Attempting to breach security measures

  • Interfering with Service operation or infrastructure

  • Transmitting viruses, worms, or malicious code

  • Conducting vulnerability scans or penetration testing

10.2 Abuse and Misuse

  • Creating false or misleading accounts

  • Impersonating others or misrepresenting affiliation

  • Manipulating metrics (views, comments, etc.)

  • Circumventing content access restrictions

  • Using the Service for illegal purposes

10.3 Commercial Exploitation

  • Reselling Service access without authorization

  • Extracting data for commercial purposes

  • Competing services using our content

  • Unauthorized advertising or solicitation

10.4 Legal and Ethical Violations

  • Violating applicable laws or regulations

  • Infringing intellectual property rights

  • Violating privacy rights

  • Engaging in market manipulation

  • Spreading false or misleading financial information

10. Disclaimers and Limitations of Liability

10.1 Service Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR COMPLETENESS OF CONTENT

  • UNINTERRUPTED OR ERROR-FREE SERVICE

  • SECURITY OR VIRUS-FREE OPERATION

10.2 Financial Information Disclaimer

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY FINANCIAL INFORMATION. YOU ACKNOWLEDGE THAT:

  • Trading and investing involve substantial risk

  • Past performance does not guarantee future results

  • You are solely responsible for your financial decisions

  • We are not liable for any trading losses

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are NOT liable for:

  • Indirect, incidental, special, or consequential damages

  • Lost profits, revenue, or data

  • Trading or investment losses

  • Service interruptions or data loss

  • Third-party actions or content

  • Unauthorized access to your account

Maximum Liability: Our total liability shall not exceed the greater of:

  • $100 USD, or

  • The amount you paid us in the 6 months preceding the claim

10.4 Exceptions

Some jurisdictions do not allow limitation of certain warranties or damages. If these laws apply to you, some limitations above may not apply. EU and UK consumers retain their statutory rights.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vitorian LLC, its officers, directors, employees, agents, licensors, and service providers from and against all claims, losses, expenses, damages, and costs (including reasonable attorneys’ fees) resulting from:

  • Your violation of these Terms

  • Your User Content

  • Your use of the Service

  • Your violation of any third-party rights

  • Your violation of applicable laws

  • Any misrepresentation by you

  • Unauthorized use of your account

We reserve the right to assume exclusive defense of any claim subject to indemnification, and you agree to cooperate with our defense.

12. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. This choice of law is intended to provide consistent interpretation and enforcement of these Terms.

16.2 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@vitorian.com. We will attempt to resolve disputes informally for at least 30 days.

16.3 Jurisdiction and Venue

For any disputes not resolved informally, you agree that:

  • Exclusive jurisdiction is in state or federal courts in Cook County, Illinois

  • You waive objections to jurisdiction and venue in these courts

  • Service of process may be made by mail or email

14.4 Consumer Protection

Nothing in these Terms limits your rights under applicable consumer protection laws. EU and UK consumers may also bring claims in their local courts.

12.5 Time Limitation

Any claim must be brought within one (1) year after the cause of action arises, or be forever barred.

12.6 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class, collective, or representative action.

13. Termination

16.1 Termination by You

You may terminate your account at any time by:

  • Using account settings to delete your account

  • Contacting support@vitorian.com

  • Ceasing all use of the Service

16.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms

  • You engage in fraudulent or illegal activity

  • We believe termination is necessary to protect the Service or users

  • Required by law or legal process

  • The Service is discontinued

16.3 Effects of Termination

Upon termination:

  • Your right to use the Service immediately ceases

  • We may delete your account and User Content

  • Paid subscriptions remain active until expiration (unless terminated for violation)

  • No refunds for termination due to violations

  • Sections that should survive termination will remain in effect

14.4 Surviving Provisions

The following sections survive termination: User Content licenses, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and this Survival provision.

14. Modifications to Terms

16.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes become effective when posted unless we specify otherwise.

16.2 Notice of Changes

We will notify you of material changes by:

  • Email notification to registered users

  • Prominent notice on the Website

  • Requiring acceptance for continued use (for significant changes)

16.3 Acceptance of Changes

Continued use of the Service after changes constitutes acceptance of modified Terms. If you disagree with changes, you must stop using the Service and may terminate your account.

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or governmental actions.

16.6 Relationship of Parties

These Terms do not create any agency, partnership, joint venture, or employment relationship. You have no authority to bind us in any manner.

16.7 Notices

Legal notices to us should be sent to legal@vitorian.com or our mailing address. Notices to you will be sent to your registered email or posted on the Service.

16.8 Export Compliance

You may not use or export the Service in violation of U.S. export laws and regulations or any applicable local laws.
